All orders, services and deliveries to the customer are exclusively subject to the following terms of business. The General Terms of Business are an integrated part of every business deal.<\/p>\n<p>2. The customer\u2019s own conditions are hereby expressly contradicted. Deviations of the mentioned General Terms of Business as well as oral side agreements must be confirmed in writing by the Woodboard KG Company in order to be valid.<\/p>\n<p><strong>II. Delivery Process and Conclusion of Contract:<\/strong><\/p>\n<p>1. By clicking \u201cSend Order\u201d you make a binding order of the items in the shopping basket. The contents of the order will then be sent to the Woodboard KG Company.<\/p>\n<p>2. The contract is concluded as soon as you receive the electronic confirmation of receipt of your order from the Woodboard KG Company.<\/p>\n<p>3. If such a confirmation does not exist, the contract is concluded if the item is accepted without contradiction or the service is done for the customer subject to the invoice issued by Woodboard KG.<\/p>\n<p><strong>III. Prices, Delivery, Delivery Costs, Terms of Payment:\u00a0<\/strong><\/p>\n<p>1.The ordered articles will be sent as quickly as possible. If not all items are on stock, Woodboard KG reserves the right to partial deliveries.<\/p>\n<p>2. The articles are sent to the address given by the customer. Every delivery is at the customer\u2019s sole risk, even if it is carried out by a forwarding agency, by train or by post. The risk goes over to the customer as soon as the article is handed over to the transport company. The conclusion of insurance for transport damage etc. is alone the buyer\u2019s duty. If data is downloaded or sent via internet, the risk of accidental loss or accidental deterioration goes over to the customer as soon as the interface has been passed.<\/p>\n<p>3. Force Majeure and other Events beyond our Control:\u00a0<\/strong><\/p>\n<p>1. Force majeure (i.e. public unrest or similar events,) inability through no fault of our own, difficulties with import and other circumstances which Woodbord KG cannot be held responsible for (such as faulty, delayed or held off delivery on the part of our suppliers, disturbances in transport, bankruptcy of the supplier etc.) as well as all incidents not caused by the will of Woodboard KG., entitle Woodboard KG to cancel the delivery partly or totally depending on the scope and the duration of the impediment or to postpone delivery. In case of constant impediment Woodboard KG is entitled to deliver correspondingly to the delay including a reasonable start-up period or to withdraw from the contract.<\/p>\n<p><strong>V. Reservation of Title:\u00a0<\/strong><\/p>\n<p>1. All deliveries are exclusively carried out under reservation of title. Woodboard KG remains the owner of the article until the complete payment of the sales price plus side costs by the buyer.<\/p>\n<p><strong>VI. Right of Withdrawal:\u00a0<\/strong><\/p>\n<p>1. It is a major concern of Woodboard KG that our customers are totally satisfied with the order. However, they can withdraw from the contract with Woodboard KG, Urbaniweg 12, 7091 Breitenbrunn within 14 workdays from the date of receipt of the item.<\/p>\n<p>2. Withdrawal of contract is possible without giving reasons. It can be declared in writing, via e-mail or fax. To meet the deadline, it is sufficient for the customer to send the revocation in time.<\/p>\n<p>3. After withdrawal of contract, the buyer is obliged to wholly return the item. The costs for sending back must be paid by the customer himself.<\/p>\n<p>4. The purchase price is reimbursed after receipt of the article and subject to the provisions below: If the customer is responsible for deterioration, the loss of value or impossibility of the return of the article, the impairment or the value of the article has to be compensated. After using the article, the customer is required to offer an equal compensation for value, too. This does not apply if the deterioration is solely caused by the examination of the product. However, such an examination may only take place on a short term basis and without detectable use of the good in order to avoid its decrease in value and the compensation in value resulting thereof.<\/p>\n<p>5. The right of withdrawal does not exist in the case of contracts concerning the delivery of goods which were produced according to the customer\u2019s specification or have clearly been tailored to the personal needs or whose expiration date would be exceeded. The right of withdrawal is void if the article has been used.<\/p>\n<p><strong>VII. Warranty:\u00a0<\/strong><\/p>\n<p>1. The customer has to investigate the article and its packaging immediately at delivery, or check the service.<\/p>\n<p>2. The customer, who is consumer as defined in the Austrian Consumer Protection Act, has to indicate all obvious material defects, deviations in quantity or wrong deliveries, the customer, who is entrepreneur as defined in the Austrian Commercial Code, has to indicate all obvious material defects, deviations in quantity of wrong deliveries with 5 work days after delivery, in any case, however, immediately after acceptance or further purchasing, processing, joining, blending or consumption in writing by precise reference to the respective delivery\/invoice und the delivery note.<\/p>\n<p>3. The customer has to immediately indicate in writing hidden defects after discovery \u2013 at the latest prior to the expiration of 6 months from the time of delivery. The entrepreneur, as defined in the Austrian Commercial Code, is entitled to do so only within the period of four weeks after delivery or acceptance of the goods.<\/p>\n<p>4. If the customer does not fulfil the above-mentioned obligations, the article or the service shall be deemed approved.<\/p>\n<p>5. Defects and damages which are caused by the customer by not following the instructions concerning installation, hardware and software environment as well as implementation and conditions of implementation are not subject to warranty, unless the customer can prove that these circumstances were not the reasons for the defects expressly reported.<\/p>\n<p>6. The settlement of unjustified warranty or guarantee claims, if they result from resolution or rough negligence, will be subject to additional charges of the costs incurred to us. In these cases the Woodboard KG Company reserves the right to further allocate the lump sum costs of its suppliers.<\/p>\n<p>7. Repair works beyond warranty require payment of a fee.<\/p>\n<p>8. The warranty period for customers, who are entrepreneurs as defined in the Austrian Commercial Code, is one year from the date of delivery of goods. In the case of used things the warranty period is one year from the date of delivery of goods.<\/p>\n<p><strong>VIII. Data Protection:\u00a0<\/strong><\/p>\n<p>1. The customer\u2019s data is automatically processed and treated according to the rules and regulations of the Austrian Data Protection Act (DVR-No. 0568236).<\/p>\n<p>2. The personal data which is needed for the business deal is only collected for specified and explicit purposes and is stored for no longer than is necessary. The customer has the right to require information as well as to have his stored data corrected, blocked or erased.<\/p>\n<p>3. The customer\u2019s personal data including his address are not transmitted to third parties except to our service partners who need the data in order to be able to execute the order. In such cases, however, the scope the transmitted data is limited to the required minimum.<\/p>\n<p><strong>IX. The Applied Law and the Respective Local Court:\u00a0<\/strong><\/p>\n<p>1. Only Austrian Lay excluding UN-Law shall apply.<\/p>\n<p>2. Place of Performance is Breitenbrunn.<\/p>\n<p>3. Place of Jurisdiction is the locally competent court of the Woodboard KG Company residence.<\/p>\n<p>4. If the customer is a consumer, as defined in the Austrian Consumer Protection Act, the competence of the court applies for the domicile of the usual stay of the place where the occupation of the customer lies.<\/p>\n<p><strong>X. Severability Clause:\u00a0<\/strong><\/p>\n<p>If one of the regulations of these General Terms of Business becomes ineffective, it does not affect the effectiveness of the other stipulations. In this case the contractual parties are obliged in their mutual interest to substitute an ineffective regulation by another effective and feasible stipulation which, from the point of view of business success, comes close to an effective and feasible stipulation.<\/p>\n<\/div><\/div><div class=\"et_pb_tab_1 et_pb_tab clearfix et_pb_module et_block_module\"><div class=\"et_pb_tab_content\"><h1>Allgemeine Gesch\u00e4ftsbedingungen<\/h1>\n<p>Stand: 27. April 2011<\/p>\n<p>der Firma Woodboard KG, Urbaniweg 12, 7091 Breitenbrunn, \u00d6sterreich<\/p>\n<p><strong>I. Allgemeines\u00a0<\/strong><\/p>\n<p>1. Alle Bestellungen, Leistungen und Lieferungen an den Kunden unterliegen ausschlie\u00dflich den nachfolgenden Gesch\u00e4ftsbedingungen. Die AGB\u00b4s bilden einen integrierten Bestandteil eines jeden Gesch\u00e4ftsabschlusses. 2. Eigenen Bedingungen des Kunden wird hiermit ausdr\u00fccklich widersprochen. Abweichungen von den hiesigen AGB\u00b4s sowie allf\u00e4llige m\u00fcndliche Nebenabreden bed\u00fcrfen zur G\u00fcltigkeit der schriftlichen Best\u00e4tigung durch die Firma Woodboard KG.<\/p>\n<p><strong>II. Bestellvorgang und Vertragsabschluss<\/strong><\/p>\n<p>1. Durch Anklicken des Buttons \"Bestellung absenden\" geben Sie eine verbindliche Bestellung der im Warenkorb enthaltenen Ware ab. Die Inhalte der Bestellung werden durch Absenden der Bestellungen an Firma Woodboard KG abgeschickt.<\/p>\n<p>2. Der Vertragsabschluss erfolgt, indem Sie von der Firma Woodboard KG auf elektronischem Weg die Best\u00e4tigung \u00fcber den Empfang ihrer Bestellung erhalten.<\/p>\n<p>3. Bei Fehlen einer solchen Best\u00e4tigung gilt der Vertag mit der widerspruchslosen Entgegennahme der Ware bzw. Durchf\u00fchrung der Leistung beim Kunden nach Ma\u00dfgabe der der durch die Woodboard KG erteilten Rechnung als zustandegekommen.<\/p>\n<p><strong>III. Preise, Versand, Versandkosten, Zahlungsbedingungen\u00a0<\/strong><\/p>\n<p>1. Die bestellten Waren werden auf dem schnellsten Weg geliefert. Falls nicht alle bestellten Waren vorr\u00e4tig sein sollten, beh\u00e4lt sich die Firma Woodboard KG\u00a0Teillieferungen vor. Die Preise verstehen sich ab Lager Breitenbrunn. Lieferfrist und Liefertermine gelten als ann\u00e4hernd und sind unverbindlich.<\/p>\n<p>2. Die Waren werden an die vom Kunden angegebene Lieferadresse ausgeliefert. Jeder Versand geht ausschlie\u00dflich auf Gefahr und Risiko des Bestellers, auch wenn er durch eine Spedition, durch die Bahn oder Post erfolgt. Die Gefahr geht mit der \u00dcbergabe der Ware an das Transportunternehmen auf den K\u00e4ufer \u00fcber. Der Abschluss einer Versicherung f\u00fcr Transportsch\u00e4den u.s.w. ist ausschlie\u00dflich Sache des Bestellers. Soweit Daten zum Download bereitgestellt bzw durch das Internet versendet werden, geht die Gefahr des zuf\u00e4lligen Unterganges und der zuf\u00e4lligen Verschlechterung mit dem Passieren der Schnittstelle auf den Kunden \u00fcber.<\/p>\n<p>3. Alle Preise sind einschlie\u00dflich der Umsatzsteuer sowie aller sonstigen Abgaben und Zuschl\u00e4ge ausgezeichnet (Bruttopreise). Die durch den Versand des Kaufgegenstandes an die vom Kunden angegebene Lieferadresse entstehenden Kosten sind in ausgezeichneten Preisen nicht enthalten.<\/p>\n<p>4. H\u00f6here Gewalt und sonstige unabwendbare Ereignisse\u00a0<\/strong><\/p>\n<p>1. H\u00f6here Gewalt (z.B. \u00f6ffentliche Unruhen u.\u00e4.), unverschuldetes Unverm\u00f6gen, Schwierigkeiten bei der Einfuhr und sonstige von der Woodboard KG nicht zu vertretende Umst\u00e4nde (wie fehlerhafte, verz\u00f6gerte oder ausgebliebene Selbstlieferung, Verkehrsst\u00f6rungen, Konkurs des Lieferanten, etc.) sowie alle vom Willen der Woodboard KG unabh\u00e4ngigen Ereignisse, berechtigen die Woodboard KG im Umfang und f\u00fcr die Dauer der Behinderung die Lieferung ganz oder teilweise einzustellen oder aufzuschieben. Bei andauernder Verhinderung ist die Woodboard KG berechtigt, entweder mit entsprechender Verz\u00f6gerung einschlie\u00dflich angemessener Anlaufzeit zu liefern oder vom Vertrag zur\u00fcckzutreten.<\/p>\n<p><strong>V. Eigentumsvorbehalt\u00a0<\/strong><\/p>\n<p>1. Lieferungen erfolgen ausschlie\u00dflich unter Eigentumsvorbehalt. Bis zur vollst\u00e4ndigen Bezahlung des Kaufpreises samt Nebengeb\u00fchren durch den K\u00e4ufer bleibt die Firma Woodboard KG Eigent\u00fcmer der Ware.<\/p>\n<p><strong>VI. R\u00fccktrittsrecht\u00a0<\/strong><\/p>\n<p>1. Es ist ein gro\u00dfes Anliegen der Firma Woodboard KG, dass die Kunden mit der Bestellung optimal zufrieden sind. Sie k\u00f6nnen jedoch innerhalb von 14 Werktagen ab Erhalt der Ware gegen\u00fcber der Woodboard KG, Urbaniweg 12, 7091 Breitenbrunn vom Vertrag zur\u00fccktreten.<\/p>\n<p>2. Der R\u00fccktritt vom Vertrag ist ohne Angabe von Gr\u00fcnden m\u00f6glich. Er kann schriftlich, per e-mail oder Fax erkl\u00e4rt werden. Zur Wahrung der Frist gen\u00fcgt die rechtzeitige Absendung des Widerrufs.<\/p>\n<p>3. Nach Aus\u00fcbung des R\u00fccktrittrechts ist der K\u00e4ufer zur vollst\u00e4ndigen R\u00fccksendung der Ware verpflichtet. Die R\u00fccksendungskosten sind vom Kunden selbst zu tragen.<\/p>\n<p>4. Der Kaufpreis wird nach Eingang der Ware und vorbehaltlich nachstehender Bestimmung r\u00fcckerstattet: Hat der Kunde eine Verschlechterung, den Untergang oder die anderweitige Unm\u00f6glichkeit der Warenr\u00fcckgabe zu vertreten, ist die Wertminderung oder der Warenwert zu ersetzen. Bei Ingebrauchnahme der Ware ist vom Kunden ebenfalls Wertersatz zu leisten. Dies gilt nicht, wenn die Verschlechterung ausschlie\u00dflich auf die Pr\u00fcfung der Ware zur\u00fcckzuf\u00fchren ist. Eine solche Pr\u00fcfung darf allerdings nur kurzfristig und ohne feststellbare Beanspruchung der Ware erfolgen, um deren Wertminderung und den ansonsten daraus folgenden Wertersatz zu vermeiden.<\/p>\n<p>5. Ein R\u00fccktrittsrecht besteht nicht bei Vertr\u00e4gen zur Lieferung von Waren, die nach Kundenspezifikation angefertigt werden oder eindeutig auf die pers\u00f6nlichen Bed\u00fcrfnisse zugeschnitten sind oder deren Verfallsdatum \u00fcberschritten wurde. F\u00fcr gebrauchte Artikel entf\u00e4llt das R\u00fccktrittsrecht.<\/p>\n<p><strong>VII. Gew\u00e4hrleistung\u00a0<\/strong><\/p>\n<p>1. Der Kunde hat die Ware und ihre Verpackung unverz\u00fcglich bei der Anlieferung zu untersuchen bzw. die Leistung zu pr\u00fcfen.<\/p>\n<p>2. Der Kunde, welcher Verbraucher iSd KSchG ist, hat alle offensichtlichen M\u00e4ngel, Fehlmengen oder Falschlieferungen, der Kunde, welcher Unternehmer iSd UGB ist, alle erkennbaren M\u00e4ngel, Fehlmengen oder Falschlieferungen innerhalb von 5 Werktagen nach Lieferung, in jedem Falle aber unverz\u00fcglich nach Annahme bzw. vor Weiterverkauf, Verarbeitung, Verbindung, Vermischung oder Verbrauch schriftlich unter konkreter Bezugnahme auf die jeweilige Lieferung\/Rechnung und den Lieferschein anzuzeigen.<\/p>\n<p>3. Verdeckte M\u00e4ngel hat der Kunde unverz\u00fcglich nach ihrer Entdeckung - sp\u00e4testens vor Ablauf von 6 Monaten seit Anlieferung - schriftlich anzuzeigen. Unternehmern iSd UGB steht dieses Recht nur innerhalb von vier Wochen nach Lieferung bzw. Annahme der Ware zu.<\/p>\n<p>4. Kommt der Kunde den vorgenannten Verpflichtungen nicht nach, gilt die Ware bzw. Leistung als genehmigt.<\/p>\n<p>5. Nicht von der Gew\u00e4hrleistung umfasst sind M\u00e4ngel und Sch\u00e4den, die in urs\u00e4chlichem Zusammenhang damit stehen, dass der Kunde die Vorschriften \u00fcber Installation, Hardware- und Softwareumgebung sowie Einsatz und Einsatzbedingungen nicht eingehalten hat, es sei denn der Kunde weist nach, dass diese Umst\u00e4nde nicht urs\u00e4chlich f\u00fcr den ger\u00fcgten Mangel waren.<\/p>\n<p>6. Die Abwicklung von unberechtigten Gew\u00e4hrleistungs- bzw. Garantieanspr\u00fcchen, sofern diese auf Vorsatz oder grobe Fahrl\u00e4ssigkeit zur\u00fcckzuf\u00fchren sind, erfolgt vorbehaltlich einer Nachbelastung der uns dadurch entstandenen Aufwendungen. Die Firma Woodboard KG beh\u00e4lt sich eine Weiterverrechnung von Kostenpauschalen ihrer Lieferanten in diesen F\u00e4llen vor.<\/p>\n<p>7. Reparaturen au\u00dferhalb der Gew\u00e4hrleistung sind kostenpflichtig.<\/p>\n<p>8. Die Gew\u00e4hrleistungsfrist f\u00fcr Kunden, welche Unternehmer iSd UGB sind, betr\u00e4gt ein Jahr ab Ablieferung der Ware.<\/p>\n<p>Bei gebrauchten Sachen betr\u00e4gt die Gew\u00e4hrleistungsfrist ein Jahr ab Ablieferung der Ware.<\/p>\n<p><strong>VIII. Datenschutz\u00a0<\/strong><\/p>\n<p>1. Die Angaben der Kunden werden automationsunterst\u00fctzt verarbeitet und dabei entsprechend den Vorschriften und Durchf\u00fchrungsbestimmungen des Datenschutzgesetzes behandelt (DVR-Nr. 0568236).<\/p>\n<p>2. Die f\u00fcr die Gesch\u00e4ftsabwicklung notwendigen Daten werden nur f\u00fcr festgelegte, eindeutige und rechtm\u00e4\u00dfige Zwecke erhoben und nicht l\u00e4nger als n\u00f6tig personenbezogen aufbewahrt. Der Kunde hat das Recht auf Auskunft sowie ein Recht auf Berichtigung, Sperrung und L\u00f6schung seiner gespeicherten Daten.<\/p>\n<p>3. Die personenbezogenen Daten des Kunden einschlie\u00dflich der Anschrift werden nicht an Dritte weitergegeben. Ausgenommen hievon sind unsere Dienstleistungspartner, die zur Bestellabwicklung die \u00dcbermittlung von Daten ben\u00f6tigen. In diesen F\u00e4llen beschr\u00e4nkt sich der Umfang der \u00fcbermittelten Daten jedoch nur auf das erforderliche Minimum.<\/p>\n<p><strong>IX. Anwendbares Recht, Gerichtsstand\u00a0<\/strong><\/p>\n<p>1. Es gilt ausschlie\u00dflich \u00f6sterreichisches Recht mit Ausnahme des UN-Kaufrechts.<\/p>\n<p>2. Als Erf\u00fcllungsort wird Breitenbrunn vereinbart<\/p>\n<p>3. Als Gerichtsstand wird das sachlich zust\u00e4ndige Gericht am Sitz der Woodboard KG vereinbart.<\/p>\n<p>4. Wenn der Kunde Konsument im Sinne des KSchG ist, gilt die Zust\u00e4ndigkeit jenes Gerichtes als begr\u00fcndet, indessen Sprengel der Wohnsitz, der gew\u00f6hnliche Aufenthalt oder der Ort der Besch\u00e4ftigung des Kunden liegt.<\/p>\n<p><strong>X. Salvatorische Klausel\u00a0<\/strong><\/p>\n<p>Sofern eine Regelung dieser Allgemeinen Gesch\u00e4ftsbedingungen unwirksam sein sollte, ber\u00fchrt dies die Wirksamkeit der \u00fcbrigen Bedingungen nicht.
